Default SS-4: Line 12 & 13

Hey everyone,
I need some help. I have formally incorporated and I'm now working the EIN and S-Corp filings. On the SS-4 form, line 12 and 13 are giving me headaches. The only employees right now are myself and my partner (also an owner).

Form SS-4
Line 12 - "First date wages were paid"??? I don't know if I'm going to have any income yet, let alone anyone getting a payroll check. Most of the earned money is going into company development and expenses. We might not get our first job until November? Who knows?

Line 13 - "How many employees expected in the next 12 months"??? Kreskan the amazing doesn't even know this. I'm guessing it will just be 2 of us, but there could be 20 by December. Who knows?

Form 2553
Line H - "Earliest date company had shareholders or assets". Can this be a date in the near future?

My fear is, that my "best guess" will be way off (either high or low). I don't know why I have this horrible fear of the IRS. I just want to make money, pay the minimum taxes and stay legal. Can anyone make some suggestions?

I cannot help with all your ?'s but can tell you that my Scorp did not show any income the first year. No wages were paid and we didnt even have payroll setup yet:-) so no big deal if you don't make anything then don't report anything:-)

I'm had no income, wages or payroll either, but what about expenses??? My business is looking to start-up on around $1000 to $2000 dollars. I'm guessing I'll need to file some paperwork to be able to legally deduct the start-up expenses. Any recommendations?

check out www.irs.gov/pub/irs-fill/fss4.pdf might give some insight on the ss4 form
they say if you do not expect any additional employees then state 0.

as for the other
look at
www.irs.gov/pub/irs-pdf/f2553.pdf

from what they say, it looks like you would fill in the date the corporation legally formed.
I will check my records tonight and see how we filled this stuff in and let you know tommorrow.
